Terms and Conditions (AGB)

1. Scope of Application

These Terms and Conditions apply to all contracts that TaleMinds GmbH (hereinafter “we” or “Provider”) enters into with consumers (§ 13 BGB) and entrepreneurs via the website www.taleminds.com (hereinafter “Website”). Deviating terms of the customer apply only with our express written consent. 2. Conclusion of Contract

The presentation of products/services on the website does not constitute a binding offer, but a non-binding presentation. The customer is bound by sending the order form (e.g., “Submit” button). We confirm the conclusion of the contract immediately by email. In case of payment default or default of acceptance, we reserve the right to withdraw from the contract.

3. Consumer Information (B2C)

For distance selling contracts, we inform according to § 312d BGB/Art. 246a EGBGB: Essential characteristics of the contract: See product description. Price incl. VAT: Details in the offer. Payment and delivery terms: By arrangement. Right of withdrawal: See separate cancellation policy. Contract language: German/English. Place of jurisdiction: Ulm.

4. Payment and Default

Payment via secure third-party providers (e.g., Stripe, PayPal) or prepayment. In default upon non-payment within 30 days of reminder (consumers: 14 days). Default interest: 5% above the base rate p.a. (consumers) or 9% (entrepreneurs).

5. Delivery and Retention of Title

Delivery takes place according to individual agreement after receipt of payment. Ownership is transferred only after full payment. For digital products: Immediate access or provision upon completion.

6. Warranty and Liability

Warranty according to legal requirements (§§ 434 ff. BGB). We are liable for intent and gross negligence. No liability for indirect damages, as far as legally permitted. B2B: Deviation from the concept of defect possible.

7. Data Protection

8. Jurisdiction and Applicable Law

Exclusively German law excluding the UN Convention on Contracts for the International Sale of Goods. Jurisdiction: Local Court of Ulm (for entrepreneurs; consumers: place of residence).

9. Severability Clause

Should a provision be ineffective, the rest of the contract remains effective.
